1. Agreement to Terms
By accessing or using the Epex Logics website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access our services.
These Terms constitute a legally binding agreement between you ("Client" or "You") and Epex Logics ("Company," "We," "Us," or "Our") regarding your use of our website and services.
2. Definitions
- "Services" refers to web design, development, GMB optimization, SEO, social media setup, and any other digital services provided by Epex Logics.
- "Client" refers to the individual or business entity engaging our services.
- "Project" refers to the specific scope of work agreed upon between the Client and Epex Logics.
- "Content" refers to all text, images, videos, and other materials provided by the Client for the Project.
- "Deliverables" refers to the final products and services to be provided by Epex Logics as outlined in the Project scope.
3. Services and Scope of Work
3.1 Service Description
Epex Logics provides digital services including but not limited to:
- Website design and development
- Google Business Profile optimization
- Local SEO services
- Social media setup and management
- Website maintenance and support
- Digital consulting services
3.2 Project Scope
Each Project will have a defined scope of work outlined in a proposal or statement of work provided to the Client. The scope includes:
- Specific deliverables and timelines
- Pricing and payment terms
- Client responsibilities and requirements
- Technical specifications and requirements
3.3 Changes to Scope
Any changes to the Project scope must be agreed upon in writing. Additional work outside the original scope may result in additional charges at our standard hourly rate of £75/$120 CAD per hour.
4. Client Responsibilities
To ensure successful project completion, the Client agrees to:
- Content Delivery: Provide all necessary content (text, images, logos) within agreed timelines
- Timely Feedback: Review and provide feedback on deliverables within 5 business days
- Access: Provide necessary access to existing platforms, hosting, and domain accounts
- Decision Making: Designate a point of contact with authority to make timely decisions
- Accuracy: Ensure all information provided is accurate and complete
- Legal Compliance: Ensure they have rights to all content provided and that it complies with applicable laws
Important: Delays in providing content or feedback may result in project timeline extensions. Repeated delays may incur additional fees.
5. Fees and Payments
5.1 Pricing
All fees are quoted in:
- UK Clients: British Pounds (£) excluding VAT
- Canadian Clients: Canadian Dollars ($) excluding applicable taxes
5.2 Payment Terms

5.3 Payment Methods
We accept payments via:
- Bank transfer (preferred)
- Credit/debit cards (via Stripe, 3% fee applies)
- PayPal (3% fee applies)
5.4 Late Payments
Payments not received within 7 days of the due date may incur:
- A late fee of 1.5% per month on the outstanding balance
- Suspension of work until payment is received
- For monthly services, service suspension after 14 days late
6. Project Timeline and Delivery
6.1 Estimated Timelines
Project timelines provided are estimates based on current information and Client cooperation. Typical timelines:
- Standard Website: 4-6 weeks from content receipt
- E-commerce Website: 8-12 weeks from content receipt
- GMB Optimization: 2-3 weeks for setup
- SEO Services: Ongoing monthly
6.2 Milestones
Projects may be divided into milestones with specific deliverables and approval points. Client approval of each milestone is required before proceeding to the next phase.
6.3 Delivery
Final deliverables are considered complete when:
- The website is launched on the Client's hosting
- All agreed-upon features are functional
- The Client has signed off on final acceptance
7. Intellectual Property Rights
7.1 Ownership of Deliverables
Upon full payment, the Client owns the final deliverables, including:
- Custom website design and code
- Graphics and images created specifically for the project
- Content written by Epex Logics
7.2 Epex Logics Retained Rights
Epex Logics retains the right to:
- Display the completed work in our portfolio
- Use underlying frameworks, libraries, and code snippets in future projects
- Retain ownership of proprietary tools and methodologies
7.3 Third-Party Assets
Any third-party assets (fonts, stock photos, plugins) remain under their respective licenses. The Client is responsible for ensuring compliance with those licenses.
7.4 Client Content
The Client warrants they have all necessary rights to any content provided. The Client grants Epex Logics a license to use such content for the purpose of completing the Project.
8. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the Project. This includes:
- Business strategies and plans
- Customer data and information
- Financial information
- Technical specifications
- Project concepts and ideas
This obligation survives termination of these Terms.
9. Warranties and Disclaimers
9.1 Epex Logics Warranties
We warrant that our services will be provided with reasonable skill and care. For website development, we warrant that the site will function substantially as described for 30 days after launch.
9.2 Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, including:
- Merchantability or fitness for a particular purpose
- Uninterrupted or error-free operation
- Specific search engine rankings or traffic levels
SEO Disclaimer: While we use best practices to improve search rankings, we cannot guarantee specific positions or results due to the nature of search engine algorithms.
10. Limitation of Liability
To the maximum extent permitted by law:
- Epex Logics shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the total fees paid by the Client in the 12 months preceding the claim
- We are not liable for any loss of revenue, profits, or data
11. Termination
11.1 Termination by Client
The Client may terminate a Project at any time by written notice. In such case:
- The Client pays for all work completed up to termination
- Deposits are non-refundable
- Any completed deliverables are provided upon full payment
11.2 Termination by Epex Logics
We may terminate a Project if:
- The Client fails to make payments when due
- The Client breaches these Terms and fails to cure within 7 days
- The Client provides illegal or inappropriate content
11.3 Monthly Services
Monthly services may be cancelled with 30 days' written notice. Prepaid months are non-refundable.
12. Governing Law
These Terms shall be governed by:
- UK Clients: The laws of England and Wales
- Canadian Clients: The laws of the Province of Ontario
Any disputes shall be resolved in the courts of the applicable jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified Terms.
